Company statement on the AMCU’s conclusion of its investigation into Karlivsky Machine-Building Plant PJSC’s violation of economic competition protection legislation by concentrating control over a significant portion of the assets of Variant Agro Bud LLC, which carries out activities requiring the Committee’s permission.
PrJSC Karlivsky Machine-Building Plant (KMZ Industries) did not attempt to circumvent the requirements of the law. The company promptly applied to the AMCU regarding concerted actions with Variant Agro Bud and openly communicated about the transaction in the media, without concealing it. This is in contrast to cases where companies avoid applying for concentration permission.
We did not submit an application for concentration because the transaction did not involve the merger of legal entities or the purchase of all VAB assets as a property complex, which would require such approval. However, after hearing the AMCU’s categorical position, we submitted an additional application for concentration and actively cooperated during its consideration.
The AMCU studied the case for four years, conducting market research and communicating with market players and customers. Ultimately, the regulator recognized that the deal would not lead to monopolization and granted approval for the concentration.
